Terms of Service

These Terms of Service ("Terms") govern your use of StuckOrders (the "Service"), operated by StuckOrders ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

1. Description of service

StuckOrders is a SaaS exception-queue tool that connects read-only to Shopify and ShipStation and surfaces orders that are stuck, delayed, or otherwise require attention. It provides a single owned queue with assignment, aging, and next-action tracking for warehouse and fulfillment teams.

StuckOrders is not a warehouse management system (WMS), an order management system (OMS), or a system of record. Your existing tools — Shopify, ShipStation, and any CSVs you upload — remain your systems of record. StuckOrders reads from them; it does not write to, modify, or replace them. We are not responsible for the accuracy, completeness, or timeliness of data in your source systems.

2. Account and acceptable use

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
  • Resell, sublicense, or otherwise make the Service available to third parties without our written consent
  • Use the Service to store or transmit malicious code or to interfere with the operation of the Service
  • Submit false or misleading information to any form or onboarding flow

We reserve the right to suspend or terminate accounts that violate these terms.

3. Subscription billing

Paid subscriptions are billed monthly through Stripe. Current plan pricing is:

  • Starter — $400/month. One warehouse location, Shopify + ShipStation + CSV upload, Slack daily digest.
  • Operations — $950/month. Detection rules, owner assignments, audit log, claims export, multiple users.
  • 3PL — $1,750/month. Client segmentation, per-client CSV mappings, SLA tracking, priority support.
  • Onboarding (optional, one-time) — a one-time assisted-setup fee available at checkout; price disclosed at time of purchase.

Stripe collects and processes your payment card details directly. StuckOrders does not store full card numbers.

Subscriptions renew monthly unless you cancel before the next billing date. You may cancel at any time from your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period; we do not provide partial-month refunds except where required by law.

30-day audit / pilot: The initial 30-day audit or pilot period does not auto-renew into a paid subscription without your explicit action. At the end of the pilot we will contact you for a conversion call. There are no auto-renew surprises.

4. Read-only data access and your responsibilities

StuckOrders connects to your Shopify store using OAuth with the read_orders and read_fulfillments scopes only, and to ShipStation using a read-only API key you provide. We do not request write permissions and cannot place, modify, cancel, or delete orders or fulfillments on your behalf.

You are responsible for:

  • Ensuring your Shopify and ShipStation accounts remain active and properly configured
  • The accuracy of data in your source systems — StuckOrders can only surface what those systems report
  • CSV files you upload, including their format and the accuracy of their contents
  • Configuring the correct Slack webhook URL and channel permissions
  • Managing user roles and access within your StuckOrders account

5. Intellectual property

The StuckOrders application, its design, code, trademarks, and all related materials are owned by StuckOrders and protected by applicable intellectual property laws. These Terms do not transfer any ownership interest to you.

You retain all rights to your own data — your order data, customer data, and CSV uploads remain yours. By using the Service you grant us a limited license to process that data solely to provide and improve the Service as described in our Privacy Policy.

6. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

We do not warrant the accuracy or completeness of data read from your connected source systems. StuckOrders reflects what your source systems report; discrepancies in those systems are outside our control.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STUCKORDERS AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

8. Termination

You may terminate your account at any time by canceling your subscription and emailing us. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if providing the Service to you becomes commercially impractical, with reasonable notice where possible.

Upon termination, your access to the Service ends. You may request a data export before terminating. We will delete or anonymize your account data in accordance with our Privacy Policy.

9. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "last updated" date at the top of this page and, where practical, notify you by email. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

10. Governing law and disputes

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in California.
